Accenture Acquires Ariba Sourcing Services and Business Process Outsourcing Services Assets

Ariba, Inc., a provider of collaborative business commerce solutions, announced that it has completed the sale of its sourcing services and business process outsourcing (BPO) services assets to Accenture .

“The divestment of our sourcing services and BPO services assets is a very positive step in the evolution of Ariba that puts us one step closer to our goal of becoming a network company with on-demand solutions,” said Kevin Costello, President, Ariba.

Originally announced on Oct. 6, the Company said that the acquisition gives Accenture ownership of Ariba’s category expertise, sourcing process expertise and strategic sourcing execution resources. Ariba noted that it has retained its sourcing technology and the resources within its Global Services organization that are dedicated to software implementation, enablement and adoption. Ariba will continue to provide customers with services that help them maximize their use of Ariba’s solutions and the results that they deliver.

Ariba had previously estimated the contribution to fiscal year 2011 of the divested business to be approximately $40M and $0.07 in Non-GAAP revenue and EPS respectively. Based on these numbers, the Company reported that it is updating its previously provided guidance to reflect the close of the divested business.

For fiscal year 2011, Ariba said that it now expects total revenues to be approximately $347 million +/- $5 million. The subscription software and maintenance revenue outlook remains unchanged at $266.5 million to $270.5 million. The services revenue outlook is now expected to be $78.5 million +/- $5 million. Accordingly, Non-GAAP EPS is now expected to be in the range of $0.77 to $0.81, and cash flow from operations before lease loss and restructuring charges at $84 million +/- $5 million.

For the first quarter of fiscal year 2011, Ariba reported that it now expects total revenues to be approximately $86 million +/- $1 million. The subscription software and maintenance revenue outlook remains unchanged at approximately $64.5 million. The services revenue outlook is now expected to be $21.5 million +/- $1 million. Accordingly, Non-GAAP EPS is now expected to be $0.16 to $0.18.

Accenture Completes Ariba Acquisition, 40 Days After Announcement

Accenture (NYSE: ACN) announced its acquisition of the sourcing services and business process outsourcing (BPO) services assets of Ariba, Inc. (Nasdaq: ARBA), the leading provider of collaborative business commerce solutions.

Recently, on November 16, 2010, Accenture indicates that it has completed its acquisition of the sourcing services and business process outsourcing (BPO) services assets of Ariba, Inc. (Nasdaq: ARBA), which include Ariba’s direct and indirect category expertise, sourcing process expertise and strategic sourcing execution resources. About 160 Ariba employees globally are expected to join Accenture.

The acquisition will enable Accenture to provide clients with deeper category expertise, enhanced highly scalable global sourcing service delivery operations and proprietary sourcing databases, benchmarks and technologies.

Mike Salvino, group chief executive, BPO, Accenture noted that Accenture is already a leader in the procurement and supply chain BPO and supply chain management consulting, space and this acquisition further differentiate the firm in the market as it broadens client offerings with business insight and analytics.

Accenture acquires Ariba’s sourcing and BPO assets for $51 million

Under the terms of the agreement, upon the closing of the acquisition, Accenture will take ownership of these assets, which include Ariba’s category expertise, sourcing process expertise and strategic sourcing execution resources, strengthening Accenture’s position as a leading provider of sourcing and procurement consulting and outsourcing services.

Approximately 160 Ariba employees are expected to join Accenture upon the closing of the transaction. The acquisition, which is subject to customary closing conditions, is expected to close within Ariba’s quarter ended December. The purchase price is $51 million, $12 million of which is subject to escrow to be released based on the assignment and performance of certain assets.

“Ariba is a leader in spend management and this acquisition will extend and strengthen Accenture’s existing sourcing and procurement services by adding deeper category expertise, highly scalable global sourcing service delivery operations and proprietary sourcing databases, benchmarks and technologies,” said Mike Salvino, group chief executive, BPO, Accenture. “We continue to invest in our core BPO business by adding new capabilities that combine both our BPO and Management Consulting offerings to create value for the Ariba customer base and all of our clients.”

Ariba will retain its sourcing technology and the resources within its Global Services organization that are dedicated to software implementation and will continue to provide customers with services that enable them to maximize their use of Ariba’s solutions and the results that they deliver.

Accenture pays $51 million for part of Ariba

Accenture has agreed to buy the sourcing services and business process outsourcing operations of procurement technology company Ariba in a deal worth $51 million.

Accenture said it will take over Ariba’s category, sourcing process and strategic sourcing services units in order to strengthen its offering in these areas. Around 160 Ariba employees are expected to join Accenture when the transaction is concluded.

Ariba will keep its software business and the services operations that support it. The sale will enable the company to focus on developing its spend control and analysis software.

Kevin Costello, Ariba president, said: “We remain committed to delivering innovative technologies – including sourcing applications – that enhance the entire commerce process.”

Accenture buys Ariba’s outsourcing unit for $51M

Management consulting firm Accenture PLC said Wednesday it’s buying the outsourcing business of Ariba Inc. for $51 million.

The deal will strengthen Accenture’s position in the procurement consulting and outsourcing services market. About 160 Ariba employees are expected to join Accenture.

The deal is expected to close by the end of the year. The price includes $12 million subject to escrow, which will be released based on the assignment and performance of certain assets.

“In divesting our sourcing services and BPO assets and expanding our partner ecosystem to include world-class organizations like Accenture, Ariba can deliver on its strategy to provide companies with access to network-based solutions that allow them to more efficiently and effectively buy, sell and manage their cash,” said Ariba President Kevin Costello.

Accenture Reports Strong 4Q Results

Driven by a healthy demand for its services, AccentureACN closed its fiscal year on a high note with solid bookings, which gives us good visibility going into fiscal 2011. As the overall economy began to thaw a bit in the last few months, Accenture witnessed strong traction for its offerings and we expect this trend to continue in fiscal 2011.

The company reported fourth-quarter net revenue of $5.4 billion, which represents a 5% growth compared to the fourth quarter of fiscal 2009. The growth would have been higher if not for adverse foreign currency movements that dragged down its growth by 3 percentage points. Except for its Health & Public Services business, Accenture reported solid growth across all of its operating segments.

The impact of public sector austerity in Europe, particularly in the U.K. as well as in the U.S., hit the company’s Health & Public Services segment. With government agencies continuing to remain cautious about their IT spending, we expect this declining trend to persist next year. In terms of business verticals, Accenture witnessed a strong pick-up in both Consulting (9% growth on a constant currency basis) and Outsourcing (7% growth on a constant currency basis). Within Consulting, Financial Services led the pack with a solid 21% year-over-year growth as clients continued to spend more for services related to regulatory compliance, post merger integration and business model transformation.

In terms of geography, Europe remained the laggard but it was mostly due to a stronger U.S. dollar compared to the British pound and the euro. Europe’s constant currency growth came in at 6%, and management commented that, despite the continued uncertainty in the region, large corporations aren?t holding back on their IT spending. Accenture’s operating margins remained largely unchanged at 13.2% in the fourth quarter compared to the adjusted margin of 13.1% in the fourth quarter of fiscal 2009.

Accenture reported total bookings of $6.5 billion during the quarter, which is $950 million, or 17.4%, more than what the company had recorded last year. This was primarily driven by a strong performance from the Consulting segment ($3.5 billion and 54% of the bookings), which registered 22% year-over-year growth. We would like to note that Consulting bookings were the highest in the last seven quarters. Outsourcing bookings increased by 12% compared to the year-ago period.

The company’s utilization levels at the end of the fourth quarter stood at 86%, down 2 percentage points sequentially but still above the company?s historical low-80% range. The decrease in utilization was primarily due to increased hiring as the company had a net addition 13,000 employees to its payroll. Accenture’s voluntary employee turnover during the fourth quarter stood at 17%, which was flat sequentially but up by 7 percentage points compared to the year-ago period.

Accenture ups 2Q lobbying spending slightly

Accenture PLC spent $870,000 on lobbying in the second quarter, slightly more than a year ago.

The company, which sells consulting, technology and outsourcing services, lobbied Congress on issues surrounding the development of a “smart” power grid and U.S. computer-security spending, among other issues, according to a filing with the House of Representatives.

It also lobbied on legislation concerning the use of tax havens. Last year, Accenture switched its place of incorporation to Ireland from Bermuda amid a U.S. governmental crackdown on tax havens.
